These terms set out the basis on which Webeea provides its services to clients.
1. About these terms
These Terms & Conditions apply to services provided by Webeea ("Webeea", "we", "us" or "our") to the client ("you" or "your").
By accepting a quotation, proposal, statement of work, invoice or other written agreement from Webeea, or by instructing us to begin work, you agree to these terms.
2. Services
Webeea provides digital services including, but not limited to, website design and development, ecommerce, SEO, digital marketing, Google Ads, graphic design, logo design, professional email services and website management.
The specific services included in your project will be set out in your quotation, proposal, invoice or other agreed project documentation.
Services or features not specifically included within the agreed scope may be treated as additional work and may incur additional charges.
3. Quotations and proposals
Quotations and proposals are based on the information available to Webeea at the time they are prepared.
Unless otherwise stated, quotations are valid for 30 days from the date issued.
A quotation does not constitute acceptance of an order until the required deposit or payment has been received and the project has been formally accepted by Webeea.
Webeea reserves the right to review pricing where the scope, requirements or circumstances of a project materially change.
4. Deposits and payments
Unless otherwise agreed in writing, website projects require an initial deposit before work begins.
The remaining balance and any agreed payment stages will be set out in the relevant quotation or invoice.
Work may be paused where an invoice becomes overdue.
Webeea is not required to release final website files, credentials, designs, domains, hosting access or other project deliverables until all outstanding amounts relating to the project have been paid in full.
5. Project scope
Work will be carried out according to the agreed project scope.
Requests that fall outside the agreed scope may be quoted separately before the additional work is undertaken.
This may include additional pages, functionality, integrations, content, design changes, revisions, third-party services, development work or other requirements not included within the original agreement.
6. Revisions
Revision allowances will be stated within the relevant service or project agreement.
For website projects, the standard allowance is three revision rounds unless otherwise agreed.
Logo Design, Brand Identity and Graphic Design projects include two revision rounds unless otherwise agreed.
Additional revisions or changes outside the agreed scope may be chargeable.
7. Client responsibilities
You agree to provide Webeea with the information, content, access and approvals reasonably required to complete the project.
This may include text, images, branding assets, product information, login credentials, domain access, hosting access, business information and other materials.
You are responsible for ensuring that any content, images, fonts, trademarks, data or other materials supplied to Webeea can legally be used for the intended purpose.
Delays caused by missing information, approvals, content or access may affect the project timetable.
8. Content
Unless specifically included within the agreed scope, the client is responsible for providing final website copy, product information and other required content.
Where Webeea provides copywriting, imagery, stock assets or other content-related services, these will be subject to the terms and pricing agreed for the project.
9. Website development and functionality
Webeea will make reasonable efforts to deliver websites according to the agreed specification.
Where third-party platforms, plugins, APIs, payment providers, hosting services or other external technologies are used, Webeea cannot guarantee their continued availability, compatibility, pricing or functionality.
Changes made by third-party providers may require additional work to maintain or modify a website.
10. Hosting, domains and third-party services
Hosting, domain registration, email services, plugins, software licences and other third-party services may be provided by Webeea or arranged directly by the client, depending on the project.
Where third-party services are used, their own terms, pricing, renewal dates and service conditions may apply.
Webeea is not responsible for outages, failures, price increases or service changes caused by third-party providers.
11. SEO services
SEO services are intended to improve a website's visibility, technical performance and search engine presence.
Webeea does not guarantee specific search engine rankings, traffic levels, leads, sales or other commercial results.
Search engine algorithms, competition and other external factors can affect SEO performance and are outside Webeea's direct control.
12. Google Ads and digital advertising
Where Webeea provides Google Ads or other paid advertising services, advertising spend is separate from Webeea's service fees unless explicitly stated otherwise.
Advertising results can vary and Webeea does not guarantee a particular number of clicks, leads, sales, conversions or return on advertising spend.
Advertising platforms may reject, restrict or suspend advertisements or accounts for reasons outside Webeea's control.
13. Intellectual property
Unless otherwise agreed in writing, ownership of final bespoke deliverables created specifically for the client will transfer to the client once all applicable project fees have been paid in full.
Webeea retains ownership of its pre-existing materials, processes, systems, templates, code libraries, frameworks, tools and other underlying resources used to produce the work.
Third-party assets remain subject to their respective licences and terms.
14. Portfolio and marketing use
Unless otherwise agreed in writing, Webeea may display completed work in its portfolio, website, social media, case studies and other marketing materials for the purpose of demonstrating its services.
Where confidentiality has been specifically agreed, Webeea will respect those restrictions.
15. Website management and ongoing services
Website management, maintenance and ongoing services are provided according to the package, subscription or agreement selected by the client.
Ongoing services may include updates, maintenance, content changes, technical checks or other agreed work.
Major redesigns, new functionality, extensive development or work outside the agreed allowance may be charged separately.
16. Project delays
Webeea will make reasonable efforts to meet agreed project timescales.
Timescales may change where delays are caused by circumstances outside Webeea's reasonable control, including delayed client feedback, missing content, technical issues, third-party providers or changes to the project scope.
17. Cancellation
If you choose to cancel a project after work has started, you may be responsible for payment for work completed up to the cancellation date and any approved non-refundable third-party costs.
Deposits may be non-refundable where Webeea has already allocated resources, commenced work or incurred costs in connection with the project.
Any cancellation arrangements specifically stated within your quotation or agreement will take precedence where applicable.
18. Liability
Webeea will provide services with reasonable care and skill.
To the fullest extent permitted by law, Webeea will not be liable for indirect, consequential or unforeseeable losses, including loss of profits, revenue, business, goodwill or anticipated savings.
Nothing in these terms excludes or limits liability where doing so would be unlawful.
19. Confidentiality
Both parties agree to treat confidential business, technical and commercial information received from the other party as confidential and not disclose it unnecessarily to third parties.
This obligation does not apply to information that is already publicly available, becomes publicly available without breach of these terms, or is required to be disclosed by law.
20. Data protection
Webeea will handle personal information in accordance with applicable UK data protection legislation and its Privacy Policy.

21. Force majeure
Webeea will not be responsible for delays or failures caused by circumstances beyond its reasonable control, including serious technical failures, internet or hosting outages, cyber incidents, natural events, government action, strikes or failures of third-party services.
22. Changes to these terms
Webeea may update these Terms & Conditions from time to time.
The version applicable to a project will generally be the version in effect when the project is accepted, unless otherwise agreed.
23. Governing law
These Terms & Conditions are governed by the laws of England and Wales.
Any disputes arising in connection with these terms will be subject to the jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.
